Welcome to Uploadlane. By creating an account or using the service you agree to these terms. So please read them.
1. Who we are
Uploadlane is a SaaS platform for content scheduling and analytics, based in Belgium. Uploadlane is operated by [handelsnaam/vennootschap], registered in the Belgian Crossroads Bank for Enterprises under enterprise number [KBO-nummer], with registered office at [maatschappelijke zetel]. In these terms, "we" or "us" means Uploadlane, and "you" or "your" means the user of the service. Questions? Email info@uploadlane.com.
2. Account
You need an account to use Uploadlane. You are responsible for keeping your login details confidential. Do not give your account to anyone else. If you think someone else can access your account, reset your password right away and email us.
You must be at least 13 years old to create an account. In Belgium, 13 is the age from which a minor can consent to information society services on their own; if you are younger, you need permission from a parent or guardian. For business use there are no age restrictions, but the person managing the account must be authorized to agree to these terms on behalf of the organization.
3. Subscription and payment
Uploadlane offers a free Free plan and paid plans (Pro, Team). Paid plans are billed monthly or yearly, in advance. You can upgrade, downgrade or cancel at any time via your workspace settings.
All prices are shown in euros and include VAT where applicable. You see the exact amount, the billing cycle (monthly or yearly) and any VAT before you confirm at checkout. Payments are processed by Stripe (Stripe Payments Europe). We remain responsible for billing, customer service and refunds.
New users get a 14-day trial period on paid plans. During this period you can cancel at no cost. After that you automatically move to the plan you chose.
On cancellation, your access to paid features stays active until the end of the current billing period. We do not give pro-rata refunds for mid-term downgrades. If you cancel during the free trial, you will not be charged.
3.1 Auto-renewal and cancellation
Paid subscriptions renew automatically at the end of each period (monthly or yearly) at the then-current rate, until you cancel. We show the renewal date and amount in your workspace. You can cancel at any time from your workspace settings, just as easily as you subscribed: no phone call or letter required. After cancellation your access continues until the end of the period already paid for, and we do not bill you again after that.
3.2 Right of withdrawal and immediate start
If you are a consumer in the EU, you normally have 14 days to withdraw from your subscription, without giving a reason and free of charge, counting from the day the contract is concluded. Uploadlane is a digital service that we can make available to you immediately, as soon as you ask us to start. At checkout we therefore ask you for two separate confirmations: (1) that you expressly ask us to start the service right away, during the 14-day withdrawal period, and (2) that you understand you lose your right of withdrawal once the service is fully performed. Neither box is pre-ticked, and you choose whether to give these confirmations.
If you give them and then withdraw before the service is fully performed, you keep your right of withdrawal for the part not yet performed, and you pay only a proportionate amount for what you have already used. For a subscription, the service is fully performed for a given billing period once that period has elapsed; during a running period you can still withdraw and pay only pro rata for the days used. If you do not give these confirmations, your 14-day right of withdrawal stays fully intact. We confirm your order, and where relevant your consent and acknowledgment, by email on a durable medium at the latest when the service starts. 4. What you may do
You may use Uploadlane to plan, publish and analyze your own content on the connected social media platforms. On team plans you may invite team members, within the seat limits of your subscription.
5. What you may not do
You may not use Uploadlane to:
- publish content that breaks the laws of Belgium or the EU;
- spread spam, misleading advertising, or bulk impersonation;
- set up automated scrapers, bots or integrations outside our official API;
- resell or sublease the service without written permission;
- attempt to bypass our security, rate limits or platform restrictions;
- publish content that infringes intellectual property or other rights of third parties (copyright, trademarks, image rights);
- abuse our affiliate or referral program, for example through self-referrals, fraudulent sign-ups or other manipulation (see section 10).
In case of a violation we may suspend or terminate your account without warning. We always try to discuss it with you first, except in cases of serious violations.
6. Your content
All content you publish through Uploadlane remains yours. We claim no ownership of your posts, captions, thumbnails or media. We only keep them as long as needed to provide the service, for example to publish a scheduled post or to calculate analytics.
By uploading content you grant us a limited, non-exclusive, royalty-free license to access, store, display, technically reformat (for example crop or transcode for a platform), schedule and, on your instruction, publish that content to the social media accounts you have connected. This license serves only to provide the service and ends as soon as you delete the content or your account, except where we are legally required to keep it a little longer (see our privacy policy).
You warrant that you own the content you upload or that you hold all necessary rights and permissions (including rights to music, imagery and the people shown) to publish it through the connected platforms. You will indemnify Uploadlane against third-party claims arising from your content or from your use of the service in breach of these terms, including reasonable legal fees, except to the extent the claim is due to our own fault.
7. External platforms
Uploadlane works together with TikTok, Instagram, Facebook (Meta) and YouTube via their official APIs. Your use of each connected platform is also subject to that platform's terms. You act on your own behalf and are responsible for making sure your content complies with each platform's rules. If a platform changes or shuts down a feature, we may have to disable that feature too. When you disconnect a channel, we delete that platform's tokens and the data fetched via its API.
7.1 YouTube
Uploadlane uses the YouTube API Services to let you connect your channel, schedule and publish content, and view analytics. By using these features you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms). You can review Google's Privacy Policy at https://policies.google.com/privacy. Uploadlane's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy (https://developers.google.com/terms/api-services-user-data-policy), including the Limited Use requirements. We only use your Google and YouTube data to provide the user-facing Uploadlane features you see, we do not use it for advertising, and we do not use it to train generalized AI or machine learning models. In addition to deleting stored data through Uploadlane, you can revoke Uploadlane's access to your Google data at any time via the Google security settings page at https://myaccount.google.com/permissions. When you click upload we also display YouTube's required certification on the publish screen: "By clicking upload, you certify that you own all rights to the content or that you are authorized by the owner to make the content publicly available on YouTube, and that it otherwise complies with the YouTube Terms of Service located at https://www.youtube.com/t/terms."
7.2 Instagram and Facebook (Meta)
Uploadlane connects to Instagram and Facebook through Meta's Platform. When you connect a Meta account you also agree to Meta's and Instagram's own terms and policies (Meta Terms of Service: https://www.facebook.com/legal/terms; Meta Privacy Policy: https://www.facebook.com/privacy/policy/; Instagram Terms of Use: https://help.instagram.com/581066165581870), and Meta acts as an independent controller for the data it processes about you. We process the Meta data we receive only to provide Uploadlane features, we do not sell or license it, and we do not use it to build profiles for advertising or surveillance. Our Privacy Policy explains what Meta data we process, why, and how to request deletion. You can ask us to delete your Meta data at any time from your account settings or by contacting support@uploadlane.com. Disconnecting your account in Uploadlane or removing Uploadlane in your Meta settings will also trigger deletion of the related access tokens and cached Meta data.
7.3 TikTok
With Uploadlane you can schedule and publish to TikTok. Before you publish, we show you TikTok's required confirmations on the compose screen. By posting, you agree to TikTok's Music Usage Confirmation (https://www.tiktok.com/legal/page/global/music-usage-confirmation/en). When you disclose that your post is commercial, you choose one of two options: if you select 'Your brand' (you are promoting yourself or your own business) the post is labeled 'Promotional content'; if you select 'Branded content' (you are promoting another brand or a third party) then by posting you agree to TikTok's Branded Content Policy (https://www.tiktok.com/legal/page/global/bc-policy/en) and Music Usage Confirmation, and the post is labeled 'Paid partnership'. If you disclose branded content, your video cannot be set to a private ('Only me') audience; TikTok requires it to be visible to at least your followers or the public. When you connect a TikTok account you also agree to TikTok's own terms and policies, and TikTok acts as an independent controller for the data it processes about you. We use the data received through the TikTok APIs only to provide the user-facing Uploadlane features you see, we do not use it for advertising, and we do not use it to train generalized AI or machine learning models. When you disconnect your TikTok account we revoke the access token with TikTok and delete our cached copy of your profile picture. You can ask us to delete the remaining fetched TikTok data at any time via your account settings or by contacting support@uploadlane.com.
8. Availability
We do our best to keep Uploadlane available 24/7, but we cannot guarantee 100% uptime. Maintenance, infrastructure issues or platform outages can have a temporary impact. We communicate major incidents via status.uploadlane.com and email.
9. Liability
We do our best to keep Uploadlane running well and, apart from the essential publishing obligation described below, we cannot promise the service will always be uninterrupted or error-free. To the extent permitted by law, our total liability to you for all claims arising from or relating to the service or these Terms, whether based on contract, tort or otherwise, is limited to the total fees you paid us for the service in the 12 months before the event giving rise to the claim, with a maximum of EUR 500 per claim. We are liable only for direct damage that you actually suffer and can evidence. We are not liable for indirect or consequential damage, such as lost profit, lost revenue or missed opportunities.
This cap and these exclusions do not apply, and nothing in these Terms limits or excludes our liability, for: (a) our intent (opzet) or gross negligence (grove schuld); (b) death or personal injury caused by our act or omission; (c) failure to perform an essential obligation of this contract, such as scheduling and publishing the posts you have scheduled; (d) any liability that mandatory law does not allow us to limit or exclude; (e) any liability for damage arising from the processing of your personal data under the GDPR (Article 82) and applicable data protection law, including loss or corruption of your data caused by our breach; and (f) any statutory remedy you have as a consumer for lack of conformity of a digital service (including price reduction, termination and statutory compensation). If you are a consumer, your mandatory statutory rights, including the statutory conformity guarantee, always apply and are not affected by this clause.
10. Affiliate program
If you have signed up for our affiliate program, the rules in this section apply in addition to the terms above. You agree to them explicitly when you apply.
10.1 Commission
You earn 25% commission on the first 3 months of every paid subscription from a new customer you refer through your personal link. The commission only applies to customers who did not already have an Uploadlane account and who check out through your link within the granted tracking window. Renewal, downgrade or upgrade amounts after the first 3 months do not count.
10.2 Payout
Payouts run through Stripe Connect. You connect your payout account once via Stripe; all identity and tax checks go through Stripe. A commission becomes payable 60 days after the customer's payment, so that the refund window passes first. If a payment is refunded or charged back, the related commission is voided (and reclaimed even after payout). We may apply a minimum payout threshold before an amount is transferred.
10.3 Prohibited practices (zero-tolerance)
As an affiliate you may not:
- use paid advertising to promote your link in any form (Google Ads, social ads, display or other paid media);
- bid on the Uploadlane brand name or variations of it in advertising (brand bidding);
- pose as Uploadlane or suggest that you speak on our behalf (impersonation), for example using fake accounts, look-alike domains or misleading discount claims;
- send spam, misleading or unsolicited messages to spread your link.
What is allowed: organic social media, your own content, newsletters to your own audience, and word of mouth.
10.4 Self-referrals
Referring your own workspace is not allowed. Commissions on self-referrals, on accounts you manage yourself, or on clearly artificial sign-ups are not paid out and may be reversed.
10.5 Suspension and abuse
Uploadlane may suspend or block an affiliate account in case of (suspected) abuse, violation of the rules above, or fraudulent sign-ups. On suspension or blocking, outstanding commissions may be voided. In cases of serious violations we do this without prior warning.
10.6 Tax
You are responsible for correctly declaring and paying tax on your commissions. Uploadlane does not withhold tax and does not provide tax advice.
10.7 Changes to the program
We may change the terms of the affiliate program, including the commission rate and payout rules, or end the program. Changes apply to commissions that arise after the effective date. Commissions that are already payable are kept, except in the cases described above.
11. Changes
We may change these Terms only to reflect: (i) new or changed features you can decline by not using them, (ii) changes in law or in regulator or platform requirements, or (iii) security or operational necessity. If you are a consumer, we will give you at least 30 days notice by email before a material change takes effect. During that notice period you can terminate your subscription free of charge, and the change will not apply to you until your current paid period ends. Where a change reduces your rights or increases your price, it takes effect for you only if you do not cancel during the notice period; we will not treat mere continued use as acceptance of such a change without giving you this notice and free cancellation. For other changes, if you keep using Uploadlane after the change takes effect, that counts as acceptance. We will not use a change to these Terms to raise your price or change the core service at our own discretion without giving you this notice and this free right to cancel. Minor changes that do not reduce your rights, such as fixing typos or clarifying wording, may take effect without notice.
12. Governing law and complaints
These Terms and any dispute relating to them are governed by Belgian law. If you are a consumer, this choice of law does not deprive you of the protection of the mandatory provisions of the law of the country where you habitually reside. Those mandatory consumer protections always continue to apply to you.
If you are a consumer, you can bring proceedings against us before the courts of your place of residence or before the Belgian courts, and we can bring proceedings against you only before the courts of the country where you reside. If you are a business (not a consumer), any dispute will be submitted to the competent courts of the judicial district where Uploadlane has its seat. Nothing here affects your right to use out-of-court consumer dispute resolution. For consumers, the Belgian Consumer Mediation Service (Consumentenombudsdienst / Service de Médiation pour le Consommateur, www.consumentenombudsdienst.be) is competent, or another qualified consumer mediation body.
